18 August 2014 if casual vacancy arises due to death of auditor suppose in january 2014 then which form to file and how to appoint another auditor.

please provide format of resolution for the same.

22 August 2014 1. Form ADT-1 through GNL- 2.

2.The Board of the company shall have power to fill the casual
vacancy in the office of auditor.

3. Format of resolution

“RESOLVED THAT pursuant to provisions of Section 139(8) and other applicable provisions of the Companies Act, 2013, if any, M/s. _______________, Chartered Accountants,(Firm Registration Number ___________) be and are hereby appointed as the Statutory Auditors of the Company in casual vacancy caused due to death of M/s. _______________, Chartered Accountants, existing Statutory Auditors of the Company for the Financial Year 2013-2014 and to hold the office of Statutory Auditors till the conclusion of the Annual General Meeting of the Company for the Financial Year ended March 31, 2014 on such remuneration and out of pocket expenses as may be mutually decided.

RESOLVED FURTHER THAT to give effect to above resolution, the Board of Directors of the Company be and is hereby authorized for and on behalf of the Company to take all necessary steps and to do all such acts, deeds, matters and things which may deem necessary in this behalf.”
