16 October 2013 Can the retiring Director at an AGM, propose or second an Ordinary resolution at an AGM ?
The retiring Director is eligible for re-appointment.

Only share holder has right to propose and seconded. Director has no right.

16 October 2013 If the company has only 7 Directors and no other members, then who shall propose and second ? Or is there no need to propose and second ?

16 October 2013 I again saying the director has no right to propose and second any resolution at general meeting.
