Company X is having 1 lac equity shares on Dec.2007. Company has issued 20,000 shares @ Rs.100 each. Market price at that time was Rs.150 each. What will be the Basic EPS & diluted EPS as per AS-20 ?

Can an indian Pvt. limited JV company raise unsecured loan from his promoter foreign company, if yes whats the limit and what is the procedure to obtain unsecured loan.

How to determine whether the profits are Inadequate as per Schedule XIII of companies Act 1956. what is the Yardstick to determine that the profits are Inadequate.

I just want to know if the promoters of the company would necessarily be the first directors of the company also? is there a chance that the promoters after forming the company not taking up any managerial responsibility?

is thr any ceiling of 30 TOTAL audits by the ICAI? or that has been enhanced to 45?
and where as the cos. act says of 20 co. audits in which not more than 10 be of co. having a capital of 25 lacs.?

Our client newly form a pvt. ltd. co. with 1 lac capital and want to enhance the capital to 10 lac by increase Non voting right shares of Rs. 9 lac to be issued @ 5 times of their face value.

What are the formalities. If there is ready draft available with anyone for the compliance with ROC/MCA.

1. A limited company was incorporated in the year 2005.
2. Two of the original promoter/ Directors resigned after the first closing of the company in the march, 2006.
3. No business was undertaken in the first closing of March, 2006.
4. No certificate of commencement of business has been procured till date.
5. The company started business in the financial year 2006-2007.
6. No Balance sheet of the company has been filed with ROC.
7. Now when the company approached the ROC for Certificate of Commencement of Business, The ROC insisted that the Balance sheets for 2006 and 2007 be filed.
8. No what are the option with the company to get the certificate of Commencement of business?
9. What are the options with the ROC, how will he proceed. Does he have the power to condone the delay?
10. Is there any other authority under Companies Act, who can condone the delay for procuring the certificate of commencement of business?

A person who has replied to my query has not answered the real part of my query, how can I get the certificate of commencement of business
