Can any body provide the format of reply to ROC show cause notice U/s220,159,162
as i have already filed the forms before CLSS scheme.and now want to satisfy them.

1) Is there any negative consequences of not appointing an auditor within 1 month of its incortpotion in a pvt co and if appointed in 1st AGM.
2) Is he appointed in the first Board meeting after one month. Plz fwd a specimen resolution for that.
2) Except cosent letter is there any thing required to be obtaine dby the auditor. What should be the date on consent letter. If he is signning in present date can we put any date which is within one month of incorporation.
3) Plz fwd me a specimen resolution for appintment of auditor in firsy AGM.

Section 4 which defines holding co as one which holds stake of more than 50 % . One of our group company - A Pvt. Ltd (private ltd) holds more than 50% stake in main co. (private ltd) - B - Pvt. Ltd
In that case, Annual accounts of subsidiary company has to be incorporated in its holding co.(A Pvt. Ltd) _exception section 213- where central govt approval is accorded.

A Private Ltd does not incorporate annual accounts of B Pvt. Ltd.

My query is that is sec 212 applicable to only 100% subsidiary of public or private ltd co's .
