Can anybody provide me with a copy of board resolution to be passed for vacation of directors under Section 283(1)(g) of the Act.

Hi,
Very sorry for late response. Find below the resolution:
RESOLVED THAT pursuant to the provisions of Section 260 of the Companies Act, 1956 the deemed vacation of office of Mr. P, who was appointed as Additional Director in the board meeting dated July 30, 2006, as Additional Director with effect from August 18, 2006 be and is hereby taken note by the board of directors.
“RESOLVED FURTHER THAT any Director or Company Secretary of the Company be and is hereby instructed to make appropriate noting in the Register of Directors accordingly and file Form No. 32 with the Registrar of Companies.
