Incorporation of a Wholly Owned Subsidiary:
“RESOLVED THAT the consent of the Board of Directors of the company be and is hereby accorded for incorporating a Wholly Owned Subsidiary in the name and style, ‘………………………………’ (the name availability of which has been confirmed by the Registrar of Companies, …….. (State)) and making an investment of Rs………../- (being ……….. Equity Shares of Rs…../- each), of which ……… Equity Shares shall be subscribed in the very name of the company and the balance …….
