I have incorporated a public limited company.for the purpose of certificate of commencement of business i have required a Board Resolution.
Please suggest me the proper Board Resolution format.

15 July 2011 "Resolved that a certificate of commencement of business be procured from the Registrar Companies........, and Sri......... is hereby authorized to do the needful in procuring the said certificate of commencement of business.

It is further resolved that Sri........... can sign and seal any document in connection with collect of the Certificate of Commencement from the ROC......
