15 November 2009 Who can call the meeting of Board of Directors of a Private Limited Company?
How notice of meeting of Board of Directors issued? Can a notice for meeting of board of directors be send through email? Is notice send through an Email valid according to Company law, IT Act and is it accepted by Court of Law?

15 November 2009 Every director can call the meeting of Board of Directors of a Private Limited Company. notice of meeting issue to every director as per AOA(article of assiocation).
yes , notice for Board meeting can be send through Email. (sec.286)

Section 286. Notice of meetings
(1) Notice of every meeting of the Board of directors of a company shall be given in writing to every director for the time being in India, and at his usual address in India to every other director.

(2) Every officer of the company whose duty it is to give notice as aforesaid and who fails to do so shall be punishable with fine which may extend to 1[one thousand rupees].

Unquote
Section 286 says "Notice shall be given in writing to every Director at his usual address"

Will email address be considered as usual address and email be considered notice in writing".
Any case law where email notice has been accepted by court of law.
