01 July 2012 suppose a director to whom a notice is not given objects about the validity of meeting and the meeting is considered to be void and it is the only meeting from april to june. is there any contravention u/s 285?

02 July 2012 It is well settled that notice of a Board meeting must be given to all the directors, otherwise the proceedings of the meeting and the resolutions passed thereat may be declared invalid, when challenged on the ground of absence or inadequacy of the notice.
