30 January 2012 1.Can a Board Meeting of a private Limited Company be held outside India if all the directors are foreign resident?
2.If yes is there any notice of board meeting is required to be given?
3.Can minutes of Board Meeting be kept in soft copy?

Company is a subsidiary company of a foreign holding company then in such case can it appoint proxies to attend its AGM in India?

What are other specific requirement in such cases wherein all the directors are foreign resident?

31 January 2012 1. The Companies Act does not provide any thing about place for holding Board Meetings. Therefore, meetings of the Board may be held at any place in India or even Outside India.

2. Section 286 does not prescribe the manner of giving notice and neither that section or any other section prescribe the mode of sending the notice. You should give the notice of the Board meeting as per the provisions in AOA.

3. No. Minutes can't be kept in Soft Copy.
