1. For the powers of board of directors you are requested to refer section 291 and 292 of the companies act, 1956.

2. For the restrictions on the power of board of directors you are requested to refer section 293 of the companies act, 1956.

For all 5 clauses mentioned in section 293 prior approval of shareholders through OR is must.
