automatic reappointment of directors not understood

12 December 2010 "If NO RESOLUTION IS PASSED at the adjourned meeting relating to appointment of director and the adjourned meeting does not resolve not to fill the vacany, he shall be automatically reappointed. However, the automatic reappointment shall not apply in the following cases :

1.where a resolution was put & lost

does "resolution was put & lost"
means that "NO RESOLUTION IS PASSED".

12 December 2010 suppose there are total 12 directors.
as per sec.255 not less than 2/3 should be rotational i.e 8

out of 8 1/3 shuould retire at agmi ie. 3 directors shuld retire.

what is the logic behind this provision. i mean to say that all these directors can again be reappointed.
