23 April 2009 Can a director signature in the stamp of authorised signatory or not... If yes then do we have any such related clause in Companies Act... Plz help.

23 April 2009 You have to pass a resolution in the general meeting of the company.

02 May 2009 I don't agree with Mr. Tilak and Mr. Manmohan.


Yes a director can sign in the stamp of authorised signatory.

But for that you have to pass a simple Board Meeting resolution authorising the director.

In that BM resolution you can define the power of director to sign documents in the capacity of Authorised Signatory.

Any clause in company act is not required.

Any resolution in General Meeting is also not required at all.
