If a Private Limited Company has appointed Company Secretary, then is it mandatory to sign the Balance Sheet as per Section 215??

And if he / she is appointed in Financial Year - 2011 - 2012. Then will he sign the Annual Accounts of 2010 - 2011, which are generally finalised till August 2011 or September 2011??

27 April 2011 If the company has a Company Secretary, the Balance Sheet should be signed by him and 2 directors.

The accounts are to be signed by directors and CS before they are handed over to Auditors for reporting. Hence if he has joined the company before the date of audit report, he can sign the accounts of the previous FY.
