05 December 2016 A director of company can exercise power authorised by the Board either at Board Meeting of at General Meeting. Power of Board is given at Section 179 of Companies Act 2013 and there are other sectiion like section 180, 186 ect where Power need to be Delegated by shareholder via shareholders meeting (AGM or EGM) to Board and thereafter Board can further authorised any Director for activities on the same line....
