appointment & removal of first auditors

14 April 2010 A co. incorporated on 2.12.2009 I get membership on 06.01.2010 now board of director can appoint auditor within one month from the date of incorporation. what is the solution.

Further if board fails to appoint the auditor than coampny in a general meeting can appoint auditor. Whether by ordianry resolution or by special resolution?
Can i accept my appointment by company in general meeting

Can any one send me the ressolution for convening general meeting
& Notice formats

14 April 2010 Convene a general meeting under proviso (b) of section 224(5) for the appointment of first auditor after 06.01.2010 without unnecessary delay.

In general meeting simply by pass an ordinary resolution of shareholders to appoint first auditor.

Yes you can accept your appointment by company in general meeting. No ROC filing required under section 224(5).
