Appointment of Statutory Auditors

19 July 2010 In an AGM the resolution for reappointment of Statutory Auditors have been rejected by the Members. What is the option for appointing another statuory auditor in place of the failed resolution.

Can the members appoint another auditor in the same AGM even without giving prior intimation of such notice?

19 July 2010 Yes members have the power to appoint another auditor.

But better course of action would be to adjourned the AGM and re-send the notice to all the members of the company subject to section 171.

Also collect the consent or confirmation of auditor u/s 224(1B).

You may also refer section 224(3) i.e appointment by central govt.
