appointment of proxy for AGM

One the Indian company having two directors, but directors is not the share holders. Entire shares are held by a forign(Sigapur) company, is the company entitled to apponint Indian individals as the proxies to attend AGM in India

In case of subsidiary of Foreign compnay , Indian may be appointed as proxy.
