If MD of a company (XYZ) is being appointed as director in another compnay (ABC) where 1 director of (XYZ) is partner in ABC.....
is it valid?

It is valid. The only care to be taken is that at the time of appointment, the director should make proper disclosure of interest and should abstain from participating in resolutions where ABC and XYZ are dealing with each other.
