whether provision in AOA is required to appoint M.D. in case of private limited Company

Managing director can be appointed under any of the following circumstance met
1 Aggrement with the company
2Resolution in general meeting
3Board resolution
4 as per clause in Memmorandom
5 as per clause in AOA

Hi,
provisions related to appointment of MD are governed by section 269 which is not applicable to a pvt. company.
Hence there is no need to appoint MD in pvt. company.
However if u still want to appoint then you may make provisions in your AOA for appointment.
