pls inform is prior approval of audit committee is require for appointment of internal auditor in listed company?
You only take consent of the Board.

but if internal auditor is appointed form 1st sep, 2013.
can we took the resolution in the upcoming Board meeting in November, 2013 considering his appointment w.e.f 1.09.2013?
