10 September 2010 IN A PVT. LTD. COMPANY THERE WERE 5 DIRECTORS 20 YEARS AGO AND THE COMPANY HAS FILLED ANNUAL RETURN UP TO 1991 AFTER THAT COMAPNY HAS NOT FILLED ANY DOCUMENT WITH ROC .

NOW ONE OF THE DIRECTOR OUT OF 5 DIRECTOR WILLING TO APPOINT HER WIFE AS FRESH DIRECTOR W.E.F 1991 OTHER FOUR DIRECTORS ARE NOT TRACEABLE .
UNDER THE PREVELLING CIRCUMTANCES HOW THE FRESH DIRECTOR COULD BE APPOINTED W.E.F.1991 OR FROM TODAY.

14 September 2010 Procedure for appointment of director

1. First collect DIN No. of proposed director and get it approved from MCA.
2. Collect consent letter from the proposed director. (Recommended but not compulsory)
3. Convene a Board Meeting for appointment of director
4. Download Form-32 from www.mca.gov.in
5. Fill form-32 and get it certified from a PCS/PCA and upload the same on MCA site for ROC filing with in 30 days from the date of Appointment of director (Board Meeting).

14 September 2010 I would advise you to windup this company as there are lot of non-compliances and incorporate a fresh company.
