Appointment of director in pvt. ltd. company

My query is whether a director can be appointed by board resolution in case of a Private Ltd company or it can be appointed only by passing a resolution in an EGM or AGM.

Hello,Director can be appointed in a Pvt. Ltd. Co. by passing a board resolution,No need to hold EGM or AGM.

Directors are always appointed by the Shareholders by passing "Ordinary Resolution" in the General Meeting.
And alternatively you can appoint an Additional Director in the Board meeting. But that appointed Additional Director need to be regularized in the AGM other wise he will be ceased from the designation of the Additional Director.
