Pass a Ordinary resolution and appoint the DIRECTOR AS MANAGING DIRECTOR, FILE FORM 32 WITHIN 30 DAYS OF APPOINTMENT. IN COLUM 5 OF FORM 32 SELECT THE DESIGNATION AS MD.
PROVIDED THE APPOINTMENT OF MD IS WITHIN THE PURVIEW OF SEC 316,317,274,284 OF COMPANIES ACT 1956.
