24 September 2011 Sir, One of my client private limited company wants to appoint one more director from 01/10/2010 but it has submit detail of shareholders on 29/12/2010.

Pls tell can we submit form 32 now i.e 24/09/2011 mentioning date of appointment 01/10/2010 of that director and then Resubmit or Can modify the detail of shareholders submitted on 29/12/2010.

If yes then whether there will be any penalty for this form submission

You can file the e-Form 32 for the appointment of director on 01/10/2010 with an additional fee of 9 times. What is the necessity for filing details of shareholders? I think the appointment of director is after the AGM.

24 September 2011 Continuing Vignesh Ji,if the company can file form 32 on or before 31/10/2011, 75% waiver of the 9 times additional fee can be availed.

24 September 2011 Kind attn all: Pls do not modify any details if you have given Extract or shareholding pattern to Outsiders viz. Bankers cos it could lead to unwanted issues, which one client would appreciate.

24 September 2011 Dear Sir,

The CLSS scheme is not applicable for filing e-Form32 and applicable for annual filing of documents alone. The following link will be helpful to refer "https://www.mca.gov.in/Ministry/pdf/Circular_59-2011_05aug2011.pdf".

If the details of shareholding pattern changing by the appoinment of the director, then you can file the revised e-Form 20B availing 75% waiver in the additional fee. i.e you have to pay only Rs.1625 (incase of normal fee Rs.500)
