25 May 2011 can any body suggest me about appointment
of director in a private limited company.
can board appoint other than additional/alternate director in board meeting?

26 May 2011 As per the provisions of section 255 of the Companies Act, 1956 if the Articles contain a provision thereto, a Person can directly be inducted on the Board of Directors of a Private Limited Company by the Directors. No need to appoint him as an Additional Director and then regularise in the AGM of the Company.

As regards Alternate Director, such Director is appointed by the Board of Directors, whether be it a Public Limited Company or a Private Limited Company. Consent of the members is not required for appointment of an Alternate Director even in case of a Public Limited Company.
