What is the process or formalility to appoint directors in the private limited company?

Director can be appointed in the board meeting also. Pass Board resolution for appointment as additional director. The Company has to file e form 32 with the ROC within a period of 30 days from the date of appointment. Appoint as additional director and then the additional director can be regularized in AGM.
