26 August 2019 Sir/Madam,

What is procedure to appoint a Director in a Company Limited by Guarantee not having Share Capital u/s 8 Of Companies Act 2013. Company already has 3 Directors since its incorporation.

28 August 2019 The procedure of appointment of director in Section 8 company is same as we follow for appointment of director in non section 8 company. First of all, directors in thier board will pass resolution for appointing additional director, who will be regularised in the upcoming AGM. Form DIR-12 will be filed within 30 days of passing board resolution.
