30 September 2009 Whether apoointment of Comapny Secretary is mandatory for a listed company having paid up share capital of Rs. more than 10 crores. What is the eligibilty criteria of Comapny Secretary. Is a person holding degree master of commerce (m.Com) can become comapany secreatary?

30 September 2009 Yes, a listed company should compulsorily appoint a company secretary who posseses a Company Secretary (CS) degree issued by Institute of Company Secretaries of India (ICSI).
As specified above only as C.S. can be appointed as Company Secretary. M.Com cant be appointed as Company Secretary.

Not only M.com, but also B.com & 12th pass person can also enroll for the CS

30 September 2009 Yes appointment of CS in listed company as compliance officer is mandatory as per Listing Agreements.

01 October 2009 company secretary in case of a company means company secretary in pratice as defined in section 2(45A) of Co. Act , who need to be a member of Institute of Companies Secretaries of India with the meaning of CS act, 1980.

A M. com can not act a CS
