When auditor is appointed -other than the retiring auditor in a AGM, whether we need to pass a ordinary resolution / a special resolutio

Hi Madhukar,
In that case also an ordinary resolution is required.
Special Resolution for the appointment of auditor is required only in one case.
If section 224A is applicable to your company you have to pass Special Resolution for the appointment of auditor.
Read Section 224A of companies act, 1956.
