13 March 2010 As per the sect 224(1) in case of government companies for the appointment of auditor special resolution is required to be passed in the general meeting.

I want to ask that whether explanetory statement is required to be given in the notice of the general meeting for the appointment of the auditor.

whether it is a ordinary business or special.

By the way there is nothing like that in section 224(1) as mentioned by you.

Appointment of auditor is an ordinary business.

SR for the appointment of auditor is required u/s 224A. Check the applicability of section 224A in your case.

Yes in your case also it is an ordinary business. In fact appointment of auditor in every case is an ordinary business.

As 173 is not applicable so ex. statement is not required.
