Appointment of Additional Director

10 August 2017 Dear Sir, Please tell me wheather additional director can be appointed by the co in general meeting? There is contradictory views in practice manual of Icai & Jayraman Sir notes. As per Jayraman Sir Notes, additional director can be appointed in gm if authorised by articles. whereas icai has opposite view. which is correct view? & in exam what should i do? please guide me in this matter. thanks in advance.

11 August 2017 As per the provisions of Companies Act, 2013, if articles authorized the board of directors, they do have the power to appoint additional director, alternate director in the board meeting. whereas if a company wants to appoint as director, it can only be done through general meeting.

if your query specifically related with additional director, then the answer is NO, he/She can be appointed in the board meeting if authorises by articles.

11 August 2017 additional director can be appointed only by BOARD.... company in GM cannot appoint additional director... however company can appoint him as normal director by complying with S.160
