Appointment as director of any department

20 July 2012 Kindly clarify the following query:

There is a Company which is carrying on the Hospital. whether any one can be appointed as Director of any particular department of Hospital( i.e. Director of Skin Department) without filing of form 32.Whether only Designation of Director or Assistant Director can be given,No other powers of Board are to be given.

20 July 2012 Based on the query, it appears that a employee is to be given a title as
director to head a certain department and the management intends not to give any powers in the board etc. Here there is no need for Form32 etc.. In many software companies there is a designation of directors ( Program / project etc.. ) they folks dont have powers to attend the board.

It is better for the hospital to issue a letter to employee clarifying this position.

My Query is that whether Designation of "Director" can be given without filing Form 32. Whether Roc will raise any issue.In my case we are not giving any power of the Board ,only designation is to be given

20 July 2012 First of all yes the Company may appoint Director for a specific department

For ex:
Director(Finance)
Director (Legal)
Director (Import Export)
Director (Skin Department)

For this he will be a director and form 32 i to be filed with ROC.

20 July 2012 If you dont want to give him authority of Director then dont give designation Director.
