17 January 2011 When there were only two/three directors on board one of director die. .now board has only one/two director in Pvt. Ltd./ Pub. Ltd.!!! My question is whether one/two director can appoint another one as director ??? in what basis as additional director?? Or as casual vacancy???

What will be legal compliance in this situation board meeting is enough one ??or have to call EGM??? & what are procedural step I have to follow if it is Pvt. Ltd. ??? what will be different steps if it is Pub. Ltd.???

19 January 2011 Since the appointment is to fill the vacancy created by the death of a director, it will be a casual vacancy.

Quorum for a Board Meeting shall be 1/3rd of the total strength or two directors whichever is higher. However Board Meeting held by a single director, for the purpose of filling the casual vacancy of directors is held to be valid.
