Mr.A apponited as a sole selling agent for XYZ ltd., u/s 294.but the general meeting was not held after his appoinment. whether his appoinment is valid?
is there any remedial measures to make his appoinment valid???

No the appointment is not invalid because as per section 294(2) the appointment would be invalid if the first GM held after appointmnet disapprove the appointment.
Since no GM held in your case so no deemed vacation of office by the SSA.
