15 July 2010 First auditor appointment is not mandatory to be filed. However it is advisable to file the same.

Resolution for the same is ;

“RESOLVED THAT the Company do appoint Messrs __________, Chartered Accountants as Auditors of the Company till the conclusion of the 1st Annual General meeting of the Company

RESOLVED FURTHER THAT Board of Directors be authorized to fix remuneration with a Auditors as deemed fit”

15 July 2010 First appointment should also be filed though not mandatory.

Appointment of First Auditors:

Kind of Meeting : Board Meeting
Type of Resolution : Resolution with simple majority

“ RESOLVED that M/s ……………. be and are hereby appointed auditors of the company to hold office till the conclusion of the first Annual General Meeting at a remuneration of Rs …………”

IF NOT FILE TO ROC IN FIRST AUDITOR THEN IN SECOND AUDITOR CASE REQUIED EVEN THOUGH IT IS PRIVATE COMPANY
