apointment/redesignation of directors in a purely pvt ltd co

24 November 2009 what are the formalities to be complied with in the following situation for a purely pvt ltd co?
1.existing CMD to be continued as chairman only.
2.existing wholetime director to be appointed as managing director.
3.an existing employee (wife of a wholetime director) to be inducted in the board as a wholetime director.

24 November 2009 Hi,

1. If tenure expire as per previous resolution then pass a simple resolution of extension of tenure.

2. Pass a board resolution to appoint WTD as MD.

3. To appoint her as WTD again pass a board resolution.
