06 November 2009 can someone please tell me do appointments of directors have to be made at a board meeting or can they be made by circular resolution also? and can shareholders appoint the directors by way of written shareholders resolution? please answer with relevant sections.

06 November 2009 Hi,

You may appoint someone as aditional director u/s 260. For the appointment of additional diector you may go for circular resolution.

Yes under section 257 shareholders can nominate a person as director.
