WHAT IS DIFFERENCE BETWEEN AOA OF PUBLUIC LIMITED COMPANY WHICH MAKES OFFER TO PUBLUIC, TO WHO DOES NOT.

A private company is prohibited in law to raise money from public via public offer. However a public company is allowed to make public offer.
However a public company going for public offer must have an authorization clause in its AOA for making public offer.
