19 January 2010 Hello Neha,

Find below the procedure for amendment in AOA

1. First hold a BM and approve the agenda.

2. Finalise the date of GM in the BM as alteration in AOA involves passing of
special resolution.

3. Send notice of GM to all the shareholders.

4. On due date hold GM and pass special resolution for alteration in AOA.

5. File form-23 with ROC with in 30 days of passing special resolution in the GM u/s 192.

6. Also attach certify true copy of alteration resolution with form-23.
