Is it necessary for every pvt ltd company to get its annual return signed by a company secretary for F.Y 2013-14.

Under Section 161 of the companies act, 1956 the annual return filed with the Registrar shall be signed both by a director and by the manager or secretary of the company, or where there is no managing agent, secretaries and treasurers, manager or secretary, by two directors of the company, one of whom shall be the managing director where there is one. Provided that where the annual return is filed by a company whose shares are listed on a recognised stock exchange, the copy of such annual return shall also be signed by a secretary in whole- time practice.

06 October 2014 For financial year 2013-14, annual return has to be prepared as per 1956 act, vide MCA general circular 22/2014 dated 25.6.2014. No need to be signed by a company secretary in the case of Pvt Ltd companies.
