23 September 2014 1. Whether AGM be called in a state other than the registered office state, in case all members of the company agree ???

2. Whether AGM be called in a state other than the registered office state, in case it is stated in AOA of the company ???

23 September 2014 For AGM kindly refer Section 96 of the CA 2013.

AGM shall be held either at the registered office of the company or at some other place within the city, town or village in which the registered office of the company is situate. So AGM cannot be held outside the Registered office State.
