23 January 2013 if no members/shareholders are present in India on the date of AGM of a Indian private limited company

Can we conduct the AGM through other mode
like video conferencing or tele-conferencing

if not then is there other way or provision
Need to file ROC returns
not possible if no AGM
Please Help

1. If Company is Private Limited and members are willing to appoint proxy then proxy in India where Registered office is placed can hold AGM.

2. Information Technology Act 2000 allowing meetings through Video Conferencing with certain conditions fulfillment.
3. Teleconferencing is not allowed.
Returns needs to be file with MCA.
