approval of annual report by its directors is to be made on board meeting which will conduct before AGM.

shareholders are the person who approve report in AGM

suppose, company held board meeting on 25.07.2015 for approval of account and board has approved the same , so in this meeting or in another day before AGM auditor has to sign the report. and final audited accounts will be available in hands of share holder on AGM

so auditor has to sign report after or on board meeting but before AGM

16 May 2015 no it can not be possible because for holding agm 21 days clear notice are required. shorter notice is allowed with the consent of majority shareholders. further it is advisable to held both meetings on different day

My friend is running a pvt ltd company, there is only 2 members (he & his wife). Then in this case whether he can conduct board meeting and agm on the same day?
