if alteration of AOA made by passing special resolution in general meeting but not resolution in board meeting...whether altrearion of AOA is valid...???

As per provisions of section 14 of the Companies Act, 2013, alteration of AOA is the business of shareholders. However, the board of directors in its meeting has to approve and send to the shareholders the draft notice calling for EGM of the Company.
Hence, it is one of the items of the board meeting for discussion & approval of the Draft Notice. No resolution required to be passed by the Board.
