Alteration in main object

19 May 2015 One of my client a private limited company having its main business of transportation and logistics. Now they want to enter in electronics business.
Company has incorporated under ca 1956 and having electronics activity in other objects in MOA.
Now as per CA 2013 other objects in moa has been omitted.
And roc wouldn't approve alteration in moa hence it would need name change of company also..
I have suggested them to incorporate a new company but they do not want..
Experts please reply....

20 May 2015 first of all change the main object of company via altering MOA. than apply for name reservation and change the name of company.

client wanted to running same company so we have to do this. further it is less costly to change name & object as compare to new incorporation

20 May 2015 Sir i dont think ROC will approve any such changes in MOA which has two different main object and also name i.e. AB Transportation and Electronics Private Limited

21 May 2015 yes company can only run with one main object as per law
