If any Pvt. Ltd. company allot shares to anybody without signing proper SHA ( Share holding aggrement)

Yes, Prima facie company can allot shares even without signing proper SHA. But if any of the shareholder later disputes the matter can be taken to ROC and also to CLB.

Signing of SHA is not mandatory. It depends on the mutual understanding of the parties to the transaction.
