My company conducts Board Mtg for annual accounts approval every year in Sept month. Can the AGM also be conducted on the same day every year.

If yes what are the formalities the company needs to adhere to

12 November 2011 No generally it is not possible. There should be a gap of at least 25 days between the date of board meeting and date of AGM as desired by section 171 of the companies act 1956.

As per section 171 you have to give 21 days notice to shareholders regarding AGM holding.

12 November 2011 However as per section 172 AGM on shorter notice is possible. Under this method you may hold AGM within 2-3 days of holding BM.

Obtain consent of 100% shareholders for holding AGM on shorter notice.
