If a pvt ltd has 3 directors and same members in which 2 are foreigners
if 2 foreign directors appoint proxy for AGM is quorum formed?

As per section 174 quorum for general meeting of private co. is 2 members personally present. Proxies are not counted for quorum.
So you have 3 members out of which 2 are planning to give proxies which is not possible.
Personal presence of at least 2 members is must for a valid quorum.
