11 December 2013 Is it obligatory under the Companies Act to sign the agenda notes placed before the Board Meeting?If unsigned agenda note on a particular item is placd before the meeting and considered by the board and recorded in the minutes,will it be legally valid?

11 December 2013 No it is not necessary. It is a part of good corporate practice followed by company.

But yes, agenda paper includes notice of Board/general meeting which should be signed by authorised person and it will be considered.

In case of agenda item, if it is placed before the Board then it will be part of minutes of that meeting.
